Legal Information / Terms and Conditions

1. General information
OnePath Life (NZ) Limited and any of its related companies (together, “OnePath”) have prepared this website to provide an information service (the “OnePath Adviser Service”) solely for OnePath  insurance advisers (“OnePath Advisers”) and OnePath associated producer groups and dealer groups of OnePath Advisers (“OnePath Adviser Groups”). The information contained in the OnePath Adviser Service may be of a commercially sensitive, confidential and/or personal nature. You are not authorised to access and use the OnePath Adviser Service if you do not comply with these terms and conditions of accessing and using the OnePath Adviser Service (these “Terms and Conditions”).

The OnePath Adviser Service may only be accessed by OnePath Advisers and OnePath Adviser Groups (such entities referred to as “you” or “a User”) that have a current Business Agreement in place with OnePath (the “Business Agreement”) and that agree to be bound by these Terms and Conditions. The OnePath Adviser Service may also be accessed by certain authorised employees and representatives (referred to as “Authorised Users”) of those OnePath Advisers or OnePath Adviser Groups using their own unique User name and Password, and are deemed to be bound by the Terms and Conditions as if they were themselves a User.
By registering for and accessing the OnePath Adviser Service, you will be deemed to agree to these Terms and Conditions without qualification (including the Copyright clause and Privacy Statement below). If you do not agree to be bound by these Terms and Conditions then you must stop accessing and using the OnePath Adviser Service.

These Terms and Conditions can be modified at any time by OnePath. It is your responsibility to check these Terms and Conditions periodically for changes. Your continued use of the site following any changes means that you agree to continue to be bound by these Terms and Conditions as modified. The revised Terms and Conditions will be published on this website and may not otherwise be notified to you separately.

These Terms and Conditions were last updated in April 2010.

2. Registration
To access the OnePath Adviser Service, you must first register for the OnePath Adviser Service. To register, click here to complete the online User registration form, check the details you are submitting, and accept these Terms and Conditions. OnePath will then send a verification link to the User email address that is stated in your registration form. You will need to follow the instructions in that email to confirm your registration. Following assessment by OnePath, you will then be sent an email confirmation of your registration subject to any access restrictions applicable to your User status, after which you will be able to log in to the OnePath Adviser Service for the first time.

You agree that any registration information you give to OnePath will always be accurate, correct and up to date, and that your User email address will only be used in connection with the OnePath Adviser Service by you. It is the responsibility of each User to notify OnePath of any change to the registration information it provided to OnePath, including any information regarding its Authorised Users.

OnePath endeavours to confirm or decline all registration requests within 48 hours of receiving a User registration form.

2.1 User name
Your User name is the unique identifier that you have selected for use in connection with the OnePath Adviser Service, which will need to comprise of five characters or more (note that you are not able to use special characters in your User name).

2.2 Password
Your Password is the secret code that you have selected to provide you with access to the OnePath Adviser Service. Your Password will need to comprise of eight characters or more, including at least one upper case character, one lower case character and one numeric character (note that you are not able to use special characters in your User name).

The Password that you select must not be easy to guess (such as sequential numbers) or based on easily accessible personal data (such as family, street names or birth months).

You are entirely responsible for keeping your User name and Password secure and secret at all times, and must take reasonable steps to prevent unauthorised use of it and your User name. For example, you must never write or otherwise record your Password in any way that can be understood by someone else. Do not disclose your Password to any unauthorised person, including OnePath staff, who should never ask you for your Password. You agree to notify OnePath immediately if you become aware of any unauthorised user of your User name or Password.

3. Use of the OnePath Adviser Service
The information contained in the OnePath Adviser Service may contain personal information pursuant to the Business Agreement between OnePath and an OnePath Adviser and/or an OnePath Adviser Group. You agree that you will only use the OnePath Adviser Service to access information (which may include personal information) that is permitted by the Business Agreement.

You further agree that you will not use or permit the use of the OnePath Adviser Service for any purpose other than as specifically intended to carry out your insurance advisory business in accordance with the Business Agreement.

Each OnePath Adviser and OnePath Adviser Group is solely responsible for any Authorised Users that use the OnePath Adviser Service and shall ensure that such Authorised Users use the OnePath Adviser Service for authorised purposes only and comply with these Terms and Conditions.

4. Liability

4.1 Your liability to OnePath
You agree to indemnify OnePath for any loss, damage, claims or expenses incurred by us, our customers or a third party, and any claim or action which may be brought against us by a customer or third party, which is in any way the result of the use of the OnePath Adviser Service by you, your representatives or employees, or any person using your User name and Password.

4.2 OnePath excluded from liability
To the maximum extent permitted by law, OnePath, its related companies and their directors, employees and agents:

(a) Do not give any warranties or representations to any person in relation to the OnePath Adviser Service; and

(b) Shall not be liable for any direct, indirect, incidental, consequential or punitive damages arising in connection with your use of the OnePath Adviser Service (whether due to the negligence of OnePath, its related companies or their directors, employees and agents, or otherwise).

Without limitation to the above:

(a) Accuracy of information
OnePath believes the information in this site is correct, and it has reasonable grounds for any opinion or recommendation found within, on the date this site was last updated. However, due to the nature of the information and to circumstances beyond our control, we do not warrant that the information on the OnePath Adviser Service is accurate or free from error. Accordingly, OnePath, its related companies and their directors, employees and agents are not liable for any loss or damage incurred by any person as a result of any error in any information, opinion or recommendation in this site;

(b) OnePath tools
The sales tools, case studies and other OnePath materials which may be used on this site from time to time are intended to be illustrative only. OnePath does not represent or warrant the accuracy, adequacy or completeness of any information provided by those tools. Please consult an OnePath staff member before acting on the basis of information provided by these tools;

(c) Loss or damage to IT systems
OnePath uses a high level of encryption for the OnePath Adviser Service. However, OnePath,  its related companies and their directors, employees and agents are not liable for any loss or damage to your data, software, telecommunications or other equipment caused by any person using the OnePath Adviser Service; and

(d) Loss or damage due to unavailability
OnePath, its related companies and their directors, employees and agents are not liable for any loss or damage due to any event or circumstance which leads to the OnePath Adviser Service being wholly or partly unavailable such as, but not limited to, technical breakdown, industrial action (whether or not involving our employees) or communications or power failure. You may be able to reduce your loss by contacting OnePath, Sales Operations on 0508 464 999 during normal business hours.

If, notwithstanding the other provisions of these Terms and Conditions, OnePath is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the OnePath Adviser Service, OnePath liability shall not exceed NZ$100.00.

5. Copyright
OnePath holds all copyright and other intellectual property rights in this site and reserves all rights, save as provided in this disclaimer. You are entitled to use the information in this site for your individual reference only. You must not reproduce or distribute content from this site or any part of it, nor transmit it to any other person or incorporate it in any way in any other document or materials, without OnePath written consent or where expressly permitted in this site.

6. Hypertext linking
You must not create a link to any of the pages on this site without the prior written consent of OnePath. If you do create a link to any of the pages on our site, you acknowledge that you are responsible for all direct and indirect consequences of the link, and you indemnify OnePath for all loss, damage, liability, costs or expenses arising from or in connection with the link. If you wish to create a link to any of the pages of this web site, please contact OnePath, Sales Operations on 0508 464 999 during normal business hours.
Hypertext links to independent third-party websites which OnePath provides on this site are not investigated or monitored by OnePath. Accordingly, OnePath is not responsible for and does not necessarily endorse the content and hypertext links found on these websites.|

7. Website access
OnePath reserves the right to modify, suspend, or terminate operation of or access to the OnePath Adviser Service, or any part thereof, without notice for any reason, including the performance of maintenance or error correction.

8. Violation of these Terms and Conditions
You agree that OnePath may, in its sole discretion and without prior notice, terminate your access to the OnePath Adviser Service if it is determined that you or any of your representatives, employees, or any person using your User name or Password have violated these Terms and Conditions. Termination of access is a remedy additional to any other remedies that OnePath may have at law or in equity.

9. Governing law
The laws of New Zealand govern these Terms and Conditions and the performance under them. Any action arising out of, or in connection with, your use of the OnePath Adviser Service may only be brought before the Courts of New Zealand.
